From time to time it becomes necessary to make changes to the chapter by-laws. The board has voted on a motion to make changes to the current by-laws.
When the by-laws were adopted Article IX Section I defined the normal monthly meeting as being held on the second Friday of the month. In the early days of the chapter this seemed to work okay. In modern day Atlanta, this is not such a good choice anymore. It is the end of the work week for most and travel times in the Atlanta metro area can be a nightmare.
With this in mind, it is being proposed that a change to the wording be made as follows, "Meetings of the members may be held at such time and place as the President may determine, or as may be called by a majority of the Board of Directors. Notice of meetings of the members, stating the time, place and in general terms the purpose of the meeting, shall be given to members no later than twenty-four (24) hours before the meeting."
Adopting a change to this Article will also require a change to Article VII Section II - Meetings of the Board of Directors. The current wording requires that this meeting take place on the Tuesday preceeding the normal members meeting. The proposed change to the wording is as follows; "Regular meetings of the Board of Dorectors shall be called at any time and place to be determined by the President. Proxy voting shall not be permitted at regular meetings of the board."
These two changes will allow us to experiment and try to find a good time to hold the regular member meeting.
A second motion was adopted by the board to be voted on by the membership. This motion pertains to Article VIII B. The change being proposed is to strike the following from the by-laws; "A member cannot be elected to successive terms except in the event of a member being elected to complete the term of office created by a vacancy."
This change would allow members to serve consecutive terms as a Trustee if they so choose.
